1. Scope of Services

Undercurrent provides a data analytics platform designed to aggregate, process, and present publicly available information related to entertainment, media, and cultural trends across multiple external sources.

The Platform generates:

• Trend indicators
• Aggregated signal scores
• Sentiment summaries
• Regional and temporal analyses

All outputs are intended solely for informational and analytical purposes.

2. No Advisory Relationship

The Platform does not provide:

• Financial advice
• Investment advice
• Business or strategic consulting
• Legal or regulatory guidance

No use of the Platform shall create any advisory, fiduciary, or agency relationship between you and Undercurrent.

3. Nature of Outputs (Directional Insights Only)

You acknowledge and agree that:

• All data, metrics, and outputs are probabilistic, inferential, and directional in nature
• Outputs are derived from third-party, publicly available data sources, which may be incomplete, delayed, inconsistent, or biased
• Analytical models, including but not limited to trend scoring and sentiment analysis, are subject to methodological limitations and error

Accordingly, the Platform does not guarantee accuracy, completeness, reliability, or predictive validity of any results or insights.

4. No Guarantee of Outcomes

Undercurrent makes no representations or warranties that:

• Identified trends will result in real-world performance
• Observed signals will persist, scale, or translate into measurable outcomes
• Any use of the Platform will lead to improved decision-making, financial returns, or business success

All insights should be treated as non-deterministic indicators, not forecasts or assurances.

5. User Responsibility and Independent Judgment

You agree that:

• You are solely responsible for evaluating, interpreting, and validating any information obtained through the Platform
• You will use the Platform as one of multiple inputs in your decision-making process
• You will exercise independent judgment prior to making any operational, financial, or strategic decisions

You further agree not to rely exclusively on the Platform for high-stakes decisions, including but not limited to:

• Content greenlighting or investment decisions
• Licensing or acquisition strategies
• Resource allocation or capital deployment

6. Third-Party Data and Content

The Platform incorporates data from third-party sources, including but not limited to:

• Social media platforms
• News and media aggregators
• Public knowledge bases
• Search and engagement signals

Undercurrent does not control or verify all third-party data, makes no warranties regarding the accuracy or legality of such data, and is not responsible for third-party content, including opinions, sentiment, or user-generated material. Any reliance on such data is at your own risk.

7. Model and Analytical Limitations

You acknowledge that:

• Entity resolution, classification, and sentiment analysis may result in misattribution, aggregation errors, or inaccuracies
• Cross-platform normalization and weighting methodologies involve subjective design choices
• Outputs may change retroactively as models are updated or data is revised
• The Platform is continuously evolving, and results may not be stable over time

8. Limitation of Liability

To the maximum extent permitted by applicable law, Undercurrent and its affiliates, officers, employees, and partners shall not be liable for any:

• Direct, indirect, incidental, consequential, or special damages
• Loss of profits, revenue, data, or business opportunities
• Strategic, financial, or operational decisions made in reliance on the Platform

This limitation applies regardless of the legal theory of liability (contract, tort, negligence, etc.) or whether Undercurrent has been advised of the possibility of such damages.

9. Assumption of Risk

You expressly acknowledge and agree that use of the Platform involves inherent uncertainty, and all outputs should be interpreted as directional signals subject to noise, bias, and change. You assume full responsibility for all risks arising from your use of the Platform.

10. Indemnification

You agree to indemnify, defend, and hold harmless Undercurrent and its affiliates from and against any claims, damages, liabilities, losses, or expenses arising out of:

• Your use or misuse of the Platform
• Your reliance on Platform outputs
• Any decisions made based on Platform data

11. Modifications to the Platform and Terms

Undercurrent reserves the right to modify, suspend, or discontinue any aspect of the Platform at any time, and to update these Terms at its sole discretion. Continued use of the Platform following any updates constitutes acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.
